Terms of Service

Welcome to Invotify. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Invotify ("Company", "we", "us", or "our") governing your access to and use of the Invotify platform, including our website, applications, and all related services (collectively, the "Service"). By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you represent and warrant that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction; (b) you have the legal capacity and authority to enter into these Terms; (c) if you are using the Service on behalf of a business entity, you have the authority to bind that entity to these Terms; and (d) your use of the Service will comply with all applicable laws and regulations. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
2. Description of Service
Invotify is a cloud-based invoicing and business management platform that allows users to create, manage, and send professional invoices and quotes, manage customer relationships, track payments, and generate business documents. The Service includes features such as customizable invoice designs, automated recurring billing, multi-currency support, PDF generation, email delivery, and integration with third-party payment processors. We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration and Security
To access certain features of the Service, you must create an account by providing accurate, complete, and current information. You are solely responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activities that occur under your account; (c) immediately notifying us of any unauthorized use of your account; and (d) ensuring that your account information remains accurate and up-to-date. We implement industry-standard security measures, including encryption of data in transit and at rest, secure authentication protocols, and regular security audits.
4. Subscription Plans and Billing
The Service offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law. You authorize us to charge your designated payment method for all fees incurred. If payment fails, we may suspend or terminate your access to paid features. You may cancel your subscription at any time through your account settings; cancellation will be effective at the end of your current billing period.
5. User Content and Data Ownership
You retain full ownership of all data, content, and materials you upload, create, or store through the Service ("User Content"), including invoices, quotes, customer information, and business data. By using the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and display your User Content solely for the purpose of providing and improving the Service. We will never sell, rent, or share your User Content with third parties for their marketing purposes. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
6. Acceptable Use Policy
You agree not to use the Service to: (a) violate any applicable laws, regulations, or third-party rights; (b) transmit any harmful, fraudulent, deceptive, or illegal content; (c) send spam, unsolicited communications, or phishing attempts; (d) impersonate any person or entity; (e) interfere with or disrupt the Service or its infrastructure; (f) attempt to gain unauthorized access to any systems or accounts; (g) use automated means to access the Service without our permission; (h) create invoices for illegal goods or services; or (i) use the Service for money laundering, tax evasion, or other financial crimes. Violation may result in immediate account termination.
7. Intellectual Property Rights
The Service and all its components, including software, designs, graphics, interfaces, documentation, and trademarks, are owned by Invotify or our licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Service without our prior written consent.
8. Third-Party Services
The Service may integrate with third-party services, including payment processors (Stripe), authentication providers (Google, Apple), email services, and cloud infrastructure providers (Supabase, Vercel). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services.
9. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to complying with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Economic Area and CCPA for California residents.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOTIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold harmless Invotify and its directors, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable laws.
13. Termination
Either party may terminate this agreement at any time. You may terminate by closing your account through account settings. We may terminate or suspend your access immediately for any reason, including breach of these Terms. Upon termination: (a) your license to use the Service terminates; (b) we may delete your account and data after a reasonable retention period; and (c) provisions that should survive termination shall survive. We will provide you an opportunity to export your data before permanent deletion.
14. Dispute Resolution
Any dispute shall first be attempted to be resolved through good-faith negotiation. For EU users, you may lodge a complaint with your local data protection authority or seek resolution through the EU Online Dispute Resolution platform. These Terms shall be governed by the laws of the Republic of Latvia, without regard to conflict of law provisions. Nothing in these Terms affects your statutory rights as a consumer.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting updated Terms, sending an email, or displaying a notice in the Service. Changes are effective upon posting unless otherwise specified. Continued use after changes constitutes acceptance. If you disagree with modified Terms, you must stop using the Service.
